WHEREAS, pursuant to Request for Proposals (“RFP”) No. 605386 and Resolution No. R-17-0224, the City of Miami (“City”) entered into the Agreement with USIS, Inc. (“USIS”), for the provision of Third-Party Claims Administration and Managed Care Services (“Services”), and said Agreement has been extended through September 24, 2026; and
WHEREAS, the Services are essential to the handling and administration of the City’s liability and workers' compensation claims; and
WHEREAS, to streamline costs and processing, Risk intends to assume a majority of the Services currently provided by USIS; however, the time required to bring these essential Services “in-house” and to purchase necessary software items exceeds the expiration of the City’s contract with USIS; and
WHEREAS, the proposed professional service agreement (“PSA”) provides for an initial annual base cost of One Million, Eight Hundred Thirty-Six Thousand, One Hundred One and 36/100 Dollars ($1,836,101.36), subject to annual escalations not to exceed three percent (3%), with additional Services provided on an as-needed basis, subject to the availability of funds and budgetary approval at the time of need; and
WHEREAS, the terms and rates charged by USIS are reasonable in light of the market, and the engagement shall cease upon the completion of a new solicitation to secure the Services; and
WHEREAS, pursuant to Section 18-85(a) of the Code of the City of Miami, Florida, as amended (“City Code”), the City Manager has waived the requirements for competitive sealed bidding methods by making a written finding, attached and incorporated as Exhibit “A,” that such methods are not practicable or are not advantageous to the City for the procurement of the Services with reasons supporting the same and awarding a contract to USIS; and
WHEREAS, said written finding must be ratified, confirmed, and approved by the City Commission by a four-fifths (4/5ths) affirmative vote after an advertised public hearing;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four-fifths (4/5ths) affirmative vote, after an advertised public hearing, pursuant to Section 18-85(a) of the City Code, the City Manager’s recommendation and written finding, attached and incorporated as Exhibit “A,” that the requirements for competitive sealed bidding methods are waived as not being practicable or advantageous to the City for the provision of the Services is hereby ratified, confirmed, and approved.
Section 3. The City Manager is authorized to negotiate and execute the PSA, in a form acceptable to the City Attorney, with USIS for the provision of the Services for an initial term of three (3) years, with two (2) options to renew for additional one (1) year terms, at an initial annual base cost of One Million, Eight Hundred Thirty-Six Thousand, One Hundred One and 36/100 Dollars ($1,836,101.36), with additional Services provided on an as-needed basis, subject to the availability of funds and budgetary approval at the time of need.
Section 4. Funds for this purpose are allocated from Account No. 50001.301001.524000.0000.00000 or other legally available funding sources, subject to the availability of funds and budgetary approval at the time of need.
Section 5. The City Manager is further authorized1 to negotiate and execute all other documents, including any amendments, renewals, and extensions, all in forms acceptable to the City Attorney, subject to all allocations, appropriations, and budgetary approvals having been previously made, and in compliance with applicable provisions of the City Code, including the City of Miami’s Procurement Ordinance, Anti-Deficiency Act, and Financial Integrity Principles, all as set forth in Chapter 18 of the City Code, and in compliance with all applicable laws, rules, and regulations, as may be deemed necessary for said purpose.
Section 6. This Resolution shall become effective immediately upon its adoption.
