A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), PURSUANT TO SECTION 29-B(F) OF THE CHARTER OF THE CITY OF MIAMI, FLORIDA, AS AMENDED, AUTHORIZING THE CITY MANAGER TO EXECUTE A PURCHASE AND SALE AGREEMENT (“AGREEMENT”) IN SUBSTANTIALLY THE FORM ATTACHED AND INCORPORATED AS EXHIBIT “A,” BETWEEN THE CITY OF MIAMI (“CITY”) AND 1250 BB ASSET CO LLC, A DELAWARE LIMITED LIABILITY COMPANY (“PURCHASER”), FOR THE CONVEYANCE OF THE CITY-OWNED PROPERTY LOCATED AT 190 SOUTHEAST 12 TERRACE, MIAMI, FLORIDA (FOLIO NO.: 01-0210-050-4160), AS LEGALLY DESCRIBED IN THE AGREEMENT (“PROPERTY”), BY QUITCLAIM DEED (“DEED”) FOR A PURCHASE PRICE OF TWO MILLION, NINE HUNDRED EIGHTY THOUSAND AND 00/100 DOLLARS ($2,980,000.00) WITHOUT RESERVATION OF OIL AND MINERAL RIGHTS PURSUANT TO FLORIDA STATUTES SECTION 270.11; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL DOCUMENTS, INCLUDING AMENDMENTS AND EXTENSIONS TO THE AGREEMENT AND DEED, ALL IN FORMS ACCEPTABLE TO THE CITY AT...

WHEREAS, the Property is subject to that certain Lease Agreement, dated March 3, 2022, between the City and Dade Heritage Trust, Inc. (“Existing Tenant”) for Existing Tenant’s use of the Property (“Existing Lease”); and
WHEREAS, the Property and the improvements located thereon are designated as historic resources by both the National Register of Historic Places and the City of Miami Historic and Environmental Preservation Board, and are historically significant as the former office and surgical facility of Dr. James M. Jackson, Miami's first resident physician and a pioneer in the development of the City's medical community; and
WHEREAS, 1250 BB Asset Co LLC, a Delaware Limited Liability Company (“Purchaser”), the owner of a parcel adjacent to the Property, desires to acquire the Property from the City; and
WHEREAS, the City and Purchaser have substantially negotiated the terms of the Purchase and Sale Agreement attached and incorporated as Exhibit “A” (“Agreement”), to transfer the Property by way of a quitclaim deed in substantially the form included in the Agreement (“Deed”) for a purchase price of Two Million, Nine Hundred Eighty Thousand and 00/100 Dollars ($2,980,000.00) (“Purchase Price”); and
WHEREAS, as a condition of the conveyance of the Property, the Purchaser agrees to purchase the Property subject to the Existing Lease, and Purchaser shall assume all obligations of the landlord thereunder from and after the date of such assignment; and
WHEREAS, the City wishes to authorize the City Manager to enter into the Agreement and quitclaim the Property to Purchaser pursuant to the terms and conditions as substantially set forth in the Agreement and Deed; and
WHEREAS, pursuant to Section 29-B(f) of the Charter of the City of Miami, Florida, as amended, City requirements for competitive bidding shall not apply when disposing of non-waterfront property to the owner of an adjacent property when the subject property is 7,500 square feet or less or the subject non-waterfront property is non-buildable; and
WHEREAS, pursuant to Section 18-182 of the City Code of Ordinances, as amended, the City obtained two appraisal reports from independent Florida state-certified appraisers with the Purchase Price being equal to the higher appraised value; and
WHEREAS, the City's Brickell Key Bridge requires ongoing repair, rehabilitation, and maintenance due to its age and condition, and the City is evaluating long-term improvements, including the potential replacement of the bridge; and
WHEREAS, the City Commission desires that all proceeds from the sale of the Property be used exclusively for the repair, rehabilitation, maintenance, or replacement of the Brickell Key Bridge and/or related planning and evaluation efforts, as determined by the City Manager;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized , pursuant to Section 29-B(f) of the City Charter, to execute the Agreement and Deed in a form acceptable to the City Attorney, to convey the Property to the Purchaser for the Purchase Price with terms and conditions set forth in the Agreement.
Section 3. The City Manager is further authorized1 to execute any and all necessary documents, including amendments, extensions, and modifications to the Agreement and Deed, all in forms acceptable to the City Attorney, as deemed necessary to consummate the conveyance for said purpose.
Section 4. The City Manager is further directed and authorized1 to allocate and appropriate the net proceeds ultimately received from the conveyance of the Property to Account No. 36000.201401.469000.0.0 titled “Streets and Sidewalks, RPW Capital improvements, Miscellaneous Revenues” to be used exclusively for the repair, rehabilitation, maintenance, or replacement of the Brickell Key Bridge, and/or related planning and evaluation efforts.
Section 5. Certain necessary actions by the City Manager and designated City officials and departments made in order to update the City’s Capital Plan, relevant financial controls and computer systems for project close-outs, and for grants and other funding sources in progress in connection herewith are ratified, approved, and confirmed.
Section 6. The City Manager is further authorized1 to make any changes to adjust, amend, and appropriate the City’s Operating Budget, Five-Year Financial Plan, Strategic Plan, Multi-Year Capital Plan, and any other documents as necessary and applicable, pursuant to the provisions of this Resolution.
Section 7. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.
